乙方：江苏达因律师事务所

Party A hereby, in accordance with the relevant provisions of the Contract Law and the Lawyer Law of the P.R.C., engage Party B to act as its legal counsel and provide legal services in China. Based on the principles of good faith and through consultation, both Parties hereby enter into this Contract.

鉴于：甲方依据《中华人民共和国合同法》和《律师法》相关规定，通过友好协商，兹聘请乙方作为法律顾问提供法律服务，形成《法律顾问合同》如下：

Article 1 Scope of Party B’s Services

Party B shall provide Party A with the following legal services:

1. Provide Party A with legal consulting or opinions on all legal matters in China, including but not limited contract, labor, tax, intellectual rights and import/export;

2. Draft, prepare, review or revise legal documents (such contracts and agreements);

3. Issue formal legal opinions and lawyer's letters as requested by Party A;

4. Provide preliminary analysis on potential or threatened disputes or lawsuits (excluding the whole proceedings of lawsuit/arbitration, for which a separate engagement contract must be negotiated and signed).

第一条：乙方的工作范围

1、为甲方在中华人民共和国领域内的相关法律事务提供专业的法律咨询意见或法律解决方案，包括但不限于合同争议、劳资纠纷、税务、知识产权及进出口业务。

2、草拟、审查、修改相关法律文书。

3、根据甲方要求提供书面的法律意见书或《律师函》。

4、对潜在的可能引起法律争议或诉讼的事项提供初步的法律分析意见（不包括诉讼或仲裁的代理业务，诉讼或仲裁的代理业务应根据双方另行协商并签定单独的委托合同）

Article 2 Obligations of Party B

1. Party B shall appoint its professional lawyers （whose name: SHENKAIFU,NUMBER OF PRACTICE CERTIFICATION:13205200710797985): to act as the legal counsels of Party A.

2. Party B’s lawyers shall diligently and carefully complete the legal services as listed in Article 1 hereof;

3. Party B’s lawyers shall exert their best efforts to protect Party A’S interests in China to the extent as permitted by law;

4. After receiving the relevant documents and data provided by Party A, Party B’s lawyers shall timely complete the matters as entrusted by Party A and report the working progress as required by Party A;

5. When acting as the legal counsels of Party A, Party B’s lawyers shall not provide any consulting opinions to any employees of Party A to the detriment of Party A;

6. In any case or transaction involving the interests of Party A and a third party, Party B’s lawyers shall not, without consent of Party A, act as the legal counsels or agents of the third party having conflict of interests with Party A;

7. Party B’s lawyers shall keep confidential all business secrets of Party A available to them, and shall not disclose such secrets to any third parties, except as otherwise stipulated by law or agreed by Party A; and

8. Party B shall keep a file separately and the working records completely for Party A’s entrusted matters, and shall properly keep any original evidences, legal documents and properties of Party A. 

第二条：乙方的合同义务或工作职责

1、乙方指派沈开付律师（执业照号：13205200710797985）担任甲方的专业法律顾问。

2、乙方律师应当勤勉尽责完成本《协议书》第一条所列的各项工作。

3、乙方律师应当在法律允许的框架内尽最大可能维护甲方的合法权益。

4、乙方律师收到甲方提供的相关文件或陈述后应及时完成甲方委托的相关事务并根据甲方要求回复工作进展。

5、乙方律师在担任甲方法律顾问期间，不得为存在利害冲突的甲方员工提供法律咨询服务损害甲方的实际利益。

6、乙方律师在未征得甲方同意的情况下，不得担任与甲方有利益冲突的第三方的法律顾问或诉讼代理人。

7、除非法律另有规定或甲方明确同意外，乙方律师不得将在工作中知悉的属于甲方的商业秘密向任何第三方予以披露。

8、乙方律师应当单独建立工作档案及工作底稿，特殊情况下，保管属于甲方的原始证据、法律文件或其他财产。

Article 3 Obligations of Party A

1. Party A shall completely, objectively and timely provide Party B with various information, documents and data relating to legal matters;

2. Party A shall give specific and reasonable requests to Party B’s lawyers for handling legal matters; and

3. Party A shall timely and fully pay the counsel fees and working expenses to Party B pursuant to this Contract.

 第三条：甲方的合同义务

1、为完成相关法律咨询事项，甲方应当全面、客观、及时地向乙方提供办理案件需要的各种信息、文件、数据。

2、甲方在要求乙方完成相关法律咨询服务时应当提出明确具体合理的要求。

3、甲方应当及时全面地依据本《协议书》支付法律顾问费。

Article 4 Counsel Fees

As agreed by both Parties through consultation, Party A shall pay to Party B the counsel fees of RMB30,000 Within 3 working days after this Contract becomes effective.The said counsel fees shall be paid to the following bank account of Party B:

第四条：法律顾问费

依据双方协商，甲方应当在本《协议书》生效后的三个工作日内向乙方支付法律顾问费人民币3万元整，前述法律顾问费付至如下账户：

Article 5 Working Expenses

The following working expenses incurred by Party B’s lawyers for handling the matters entrusted by Party A shall be borne by Party A:

1. The expenses charged by the competent governmental, administrative, judicial, audit and notarization organizations;

2. The expenses for traveling, board and lodging incurred by Party B’s lawyers for handling the matters entrusted by Party A outside SUZHOU  City; and

3. Other expenses paid upon Party A’s consent.

Party A shall reimburse the said working expenses actually incurred by Party B’s lawyers.

Party B’s lawyers shall reasonably spend the working expenses based on the principle of economy.

第五条：其它费用

甲方委托乙方律师办理有关事务时产生的其它费用（如有）均由甲方承担：

1、由相关政府部门、行政机关、司法、拍卖、评估、公正机关等收到的费用。

2、乙方律师在办理甲方委托事务时，在苏州大市以外的城市产生的差旅费、机票、住宿费用。

3、甲方书面意见支出的其它费用。

甲方应当为乙方律师报销上述由乙方律师个人垫付的各项费用，乙方律师应当本着节约原则合理使用前述费用。

Article 6 Revision/Termination

This Contract may be revised or terminated upon agreement reached by both Parties through consultation.

第六条：合同的修订/终止

本《协议书》依据双方协商可以修改或提前终止。

Article 7 Dispute Resolution

This Contract shall be governed by the Contract Law, the Lawyer Law, the Civil Procedure Law and the Arbitration Law of the P.R.C.

Any dispute arising out of this Contract shall be firstly resolved by both Parties through consultation. If such dispute cannot be resolved through consultation, either party may bring a lawsuit with the competent court in China.

第七条：争议解决

本《协议书》接受相关中华人民共和国法律管辖。因本《协议书》引起的任何争议双方首先协商解决，如果无法通过协商，双方均有权向中华人民共和国有管辖权的人民法院提起诉讼。

Article 8 Effectiveness

This Contract shall be executed in duplicate originals, of which each party keeps one, and shall become effective on the date when it is signed by the authorized representative and affixed with the official seal of each party.

第八条：合同生效

本《协议书》一式两份，双方各执一份，自双方签字或盖章之日起即刻生效。

Article 9 Term

The term of this Contract shall become effective on 1/9/2018(the date) and continue in full force and effect for one year.

Both Parties shall, through consultation, decide whether to renew this Contract or not 30 days prior to expiration of this Contract. If both parties agree to renew it, a new contract shall be signed separately.

第九条：服务期限

本《协议书》应当自2018年9月1日起正式生效，乙方提供的法律服务期限为期一年。双方通过协商有权在本《协议书》生效前30日内决定是否续签合同，如果同意续签，则应当另行单独签订《法律顾问协议书》。

IN WITNESS WHEREOF, both Parties have caused this Contract to be executed by their duly authorized representatives on the date as below.

以资证明：双方在下列签字或盖章的人均为有权代表本单位签字或盖章并能够使本《协议书》生效履行。
